The ManageSportClub Platform – an online management solution for sports clubs

Version: 1.0

1. Definitions

Throughout this document, the terms below have the following meaning:

2. Acceptance of the Terms

2.1. Creating an Account and/or using the Platform constitutes full, express, and unreserved acceptance of these Terms and Conditions, as well as of the Privacy Policy and the Service Agreement, which form an integral part of this agreement.

2.2. Upon registration, the Client explicitly checks the box "I have read and agree to the Terms and Conditions, the Agreement, and the Privacy Policy." This electronic acceptance has the value of a signature under Law no. 365/2002 on electronic commerce and EU Regulation no. 910/2014 (eIDAS).

2.3. If you do not agree with these Terms, please do not create an Account and do not use the Platform.

2.4. The person creating the Account on behalf of a club/company represents and warrants that they hold the legal authority to bind that entity.

3. Subject Matter of the Service

3.1. The Provider makes available to the Client, on a subscription basis, access to the Platform for managing sports clubs, which may include, without limitation: member management, scheduling of trainings and events, communication with members, management of internal payments and invoicing, reports, and other features described in the subscription plan.

3.2. The Platform is offered "as a service" (SaaS), hosted on the Provider's infrastructure or that of its hosting providers. The Client does not receive a copy of the software and acquires no ownership right over it.

3.3. The Provider may add, modify, or withdraw features in order to improve the service, and will inform the Client in the event of substantial changes.

4. Registration and Account

4.1. To use the Platform, the Client must create an Account, providing real, complete, and up-to-date data.

4.2. The Client is solely responsible for:

4.3. The Client is responsible for managing subordinate user accounts (coaches, administrators) created within their Account.

4.4. The Provider is not liable for losses resulting from the Client's failure to comply with security obligations.

5. Permitted Use and Prohibitions

5.1. The Client undertakes to use the Platform exclusively for lawful purposes and in accordance with these Terms.

5.2. The Client is prohibited, by way of example, from:

5.3. Breach of this section entitles the Provider to suspend or terminate the Account, without reimbursement of amounts paid.

6. Fees, Payment, and Invoicing

6.1. Use of the Platform is subject to a fee, according to the subscription plan selected by the Client upon registration, the prices of which are displayed on the Platform/the Provider's website.

6.2. Fees are expressed in RON. The Provider is not, as of the date of these Terms, registered for VAT under art. 310 of the Romanian Fiscal Code; should this change, VAT will apply and be shown separately on invoices, at the legal rate in force on the invoicing date.

6.3. Invoicing. The Provider issues an electronic invoice for each subscription period. By accepting these Terms, the Client expressly agrees to the issuance and transmission of invoices in electronic format, in accordance with art. 319 of the Romanian Fiscal Code, the electronic invoice having the same legal value as a paper invoice. Invoices are sent to the e-mail address associated with the Account and/or are available in the Account.

6.4. Method of payment. Payment is made in advance, at the start of each subscription period, by bank card, through the Stripe payment processor. For recurring card payments, the Client authorizes automatic debiting of the corresponding amount upon each renewal.

6.5. Due date. Invoices are due on the issue date, payment being made automatically by debiting the registered card. Failure to pay by the due date entitles the Provider to apply late-payment penalties of 0.1% per day of delay and/or to suspend access (see section 8).

6.6. Automatic renewal. The subscription automatically renews for a period equal to the initial one, at the fee in effect on the renewal date, unless the Client cancels the subscription at least 15 days before expiry.

7. Fee Changes

7.1. The Provider reserves the right to unilaterally modify the Platform's Fees, including by increasing them, for future subscriptions and for renewals of existing subscriptions.

7.2. For ongoing subscriptions, any fee increase will be communicated to the Client at least 30 calendar days in advance of the date on which it takes effect, by e-mail and/or notification in the Platform.

7.3. The new fees apply starting with the first subscription period (renewal) following the expiry of the notice period. Fees for the already-paid period do not change.

7.4. Acceptance through continued use. If, after receiving the notification of a fee change, the Client continues to use the Platform and/or allows the subscription to renew, the Client is deemed to have tacitly accepted the new fees.

7.5. Right to cancel. If the Client does not agree with the new fee, the Client has the right to cancel the subscription, without penalties, by written notice sent before the date on which the new fee takes effect. In this case, the subscription ends at the end of the already-paid period, without affecting amounts due up to that date.

7.6. For new clients, the applicable fee is the one displayed on the Platform on the date of registration.

7.7. Fee changes caused by circumstances beyond the Provider's control (legislative or tax changes, exchange-rate changes for services purchased in foreign currency, changes in infrastructure providers' costs) may be applied with a shorter notice period, to the extent permitted by law.

8. Suspension and Termination

8.1. Suspension for non-payment. In the event of non-payment of a due invoice, the Provider may suspend access to the Account after prior notice of 7 days. The Client's data are retained during the suspension period, in accordance with the retention section of the Privacy Policy.

8.2. Suspension/termination for breach of the Terms. The Provider may suspend or terminate the Account, without reimbursement, in the event of a breach of these Terms, or of fraudulent or unlawful use.

8.3. Cancellation by the Client. The Client may cancel the subscription at any time, effective at the end of the paid period. Amounts paid in advance for the current period are not refunded, except in cases mandatorily provided for by law.

8.4. Termination by the Provider. The Provider may cease providing the service with 30 days' prior notice, in which case it will refund the unused portion of the subscription.

8.5. Effects of termination. Upon termination of the contract, access to the Account is deactivated. The Client may request an export of their data within 30 days of termination, after which the data may be permanently deleted, in accordance with the retention policy.

9. Intellectual Property Rights

9.1. The Platform, the source code, the design, the trademarks, the logos, the texts, the databases, and any other elements are and remain the exclusive property of the Provider or its licensors.

9.2. The Client is granted a non-exclusive, non-transferable right of use, limited to the duration of the subscription, solely for the purposes set out in these Terms.

9.3. Client Data. Content and data entered by the Client (including Club Members' data) remain the property of the Client. The Provider does not acquire rights over them beyond those necessary to provide the service.

10. Protection of Personal Data

10.1. The processing of personal data is carried out in accordance with EU Regulation 2016/679 (GDPR) and applicable national legislation, as detailed in the Privacy Policy.

10.2. Roles of the parties. With regard to the Club Members' data entered into the Platform, the Client acts as Controller, and the Provider acts as Processor. The conditions of this processing are governed by the Data Processing Agreement (DPA), which forms an integral part of the contract (see the Annex to the Contract).

11. Availability and Maintenance

11.1. The Provider makes reasonable efforts to ensure the availability of the Platform, but does not guarantee uninterrupted or error-free operation.

11.2. The Provider may carry out scheduled maintenance work, with prior notice where possible, preferably outside peak hours.

12. Warranties and Limitation of Liability

12.1. The Platform is provided "as is" and "as available". The Provider offers no implied warranties as to fitness for the Client's specific purpose.

12.2. The Provider is not liable for:

12.3. Limitation of liability. To the extent permitted by law, the Provider's total cumulative liability toward the Client, regardless of grounds, is limited to the value of the amounts actually paid by the Client in the last 12 months prior to the event giving rise to the damage.

12.4. The Provider is not liable for indirect damages, lost profits, or loss of opportunity or reputation.

12.5. The above limitations do not apply where liability cannot legally be excluded (fraud, gross negligence, personal injury).

13. Force Majeure

13.1. Neither party shall be liable for failure to perform its obligations caused by events of force majeure (natural disasters, conflicts, widespread internet/power outages, large-scale cyber attacks, government restrictions, etc.), for the duration and to the extent of their effects.

14. Amendment of the Terms

14.1. The Provider may amend these Terms. Changes will be communicated at least 15 days in advance, by e-mail and/or notification in the Platform.

14.2. Continued use of the Platform after the changes take effect constitutes acceptance thereof. In the event of disagreement, the Client may cancel the subscription in accordance with section 8.

15. Notices

15.1. Communications between the parties are validly made by e-mail, to the addresses indicated upon registration, or to the Provider's contact address, as well as through notifications in the Platform.

16. Governing Law and Dispute Resolution

16.1. These Terms are governed by Romanian law.

16.2. These Terms apply exclusively to legal entities and professionals (sports clubs, associations, sports structures, or other entities); the Platform is not intended for individual consumers. The parties shall attempt to amicably settle any dispute. Otherwise, disputes shall be settled by the courts competent at the Provider's registered office.

17. Final Provisions

17.1. If a clause is declared void, the others remain valid.

17.2. The Provider's failure to exercise a right does not constitute a waiver of that right.

17.3. These Terms, together with the Service Agreement, the Privacy Policy, and the Data Processing Agreement, constitute the entire agreement between the parties.
